These Terms of Use ("Terms") govern your use of the NestIQ mobile application ("App") operated by CullWell Technologies, LLC ("CullWell," "we," "us," or "our"), a limited liability company organized under the laws of the Commonwealth of Kentucky. By downloading, installing, or using NestIQ, you agree to be bound by these Terms. If you do not agree, do not use the App.
You must be at least 18 years of age to use NestIQ. By using the App, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
To use NestIQ, you must create an account using your email address and a password. You are responsible for:

NestIQ is provided for your personal, non-commercial use to manage home maintenance, track appliances, and receive AI-powered home advisory services. You agree to use the App only for lawful purposes and in accordance with these Terms.

Nesty, the AI home advisor within NestIQ, provides general home maintenance information and suggestions based on the data you provide. Nesty's responses are generated by artificial intelligence and are for informational purposes only.
Important: Nesty's advice does not constitute professional engineering, contracting, or licensed trade advice. Always consult a qualified professional before undertaking significant home repairs, electrical work, plumbing, structural modifications, or any work that may require permits. CullWell Technologies, LLC is not liable for any actions taken based on Nesty's recommendations.
NestIQ may display recommendations for products and services through affiliate partnerships. These links direct you to third-party websites and services. We are not responsible for the content, products, services, or practices of any third-party websites. Your interactions with third parties are governed by their own terms and privacy policies. We may earn a commission when you make a purchase through an affiliate link at no additional cost to you.
All content, features, and functionality of NestIQ — including but not limited to the Nesty character, NestIQ name and logo, software code, design, text, graphics, and audio — are owned by CullWell Technologies, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes. This license does not include the right to reproduce, modify, distribute, or create derivative works from any App content.
You retain ownership of any content you submit to NestIQ, including home data, task information, and chat messages. By submitting content, you grant CullWell Technologies, LLC a limited license to use, store, and process that content solely to provide the App's services to you. We do not claim any ownership rights over your content.
Your use of NestIQ is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not warrant the accuracy, completeness, or usefulness of any information provided through the App, including AI-generated content from Nesty.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CULLWELL TECHNOLOGIES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless CullWell Technologies, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the App shall be resolved in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction of such courts.
We reserve the right to suspend or terminate your access to NestIQ at any time, with or without cause, and with or without notice. You may terminate your account at any time by using the Delete Account feature within the App. Upon termination, your license to use the App ceases immediately and we will delete your data in accordance with our Privacy Policy.
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App with a revised effective date. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CullWell Technologies, LLC regarding your use of NestIQ and supersede any prior agreements or understandings.
